You (the visionary) are ready to form a company and you have no clue which type – LLC or Corporation.

We will not form anything until you ask these two questions to these people:

1) Accountant:
Q) What type of entity do I need to form?

2) Insurance Agent:
Q) What type of insurance do I need for this business?

The accountant told you to form an LLC.

Here are the documents we will prepare and file–

• Certificate of Formation
• Organizational Meeting Minutes
• Company Agreement
• Obtain a Company Manual and completed Membership Certificates

Once we file your formation, your accountant will get you an EIN.

Now, go open your account and get going.

PS. If your accountant wanted a Corporation instead of an LLC, then here are the documents we would have prepared and filed:

o Certificate of Formation
o Organizational Meeting Minutes
o Bylaws
o Shareholder’s Agreement (aka Buy-Sale Agreement) – if multiple owners.
o Obtain a Company Manual and complete Membership Certificates
